ECG Board Performance Evaluation Program

The XCEO Enlightened Corporate Governance Board Evaluation Program brings an innovative approach to evaluating the performance of the board and its directors. While providing a thoughtful and creative evaluation process, and complete anonymity, our program protects the privacy of each director as well as the entire board.

XCEO and the exercises which comprise our ECG Board & Director Evaluation Program are in agreement with the National Association of Corporate Directors (NACD) Principles.

Our questions and modules are derived from a perspective developed from within the boardroom. They are different than most questionnaires, third-party interviews or director's colleges. Our questions are designed to be thought provoking and our modules, comprehensive. We seek efficiency and effectiveness, while offering an insider perspective. Individual directors are in full control of their personal exercises. Each board will determine how to manage the storage, distribution and retention of its data.

XCEO Relative Model

The XCEO Relative Model provides a comparison of data to the XCEO defined norms of Traditional, Standard and Enlightened. This report provides a relative view of other outside benchmarks including data submitted by other boards and directors, industry research and analysis.

All of the exercises that comprise the online tool are fully automated and integrated into a rich online system. This environment encourages directors to get fully engaged while enhancing his or her contributions to shareowners. Our program provides a powerful opportunity for board members to assess their performance and share it as they deem appropriate. They may choose to restrict their results for their own personal use, or they may share them with select colleagues via e-mail to ascertain a broader perspective.

Individual Exercises: initiated by the director

  1. Individual Director Profile® (IDP) - Current
    Individual exercise for board Contributors. Contributors evaluate their current performance. This exercise can be initiated from the Contributor homepage. Results are provided immediately.
  2. Individual Director Profile® (IDP) - Future
    Individual exercise for board Contributors. Contributors establish their desired future performance. This exercise can be initiated from the Contributor homepage. Results are provided immediately.
  3. Individual Director Profile® (IDP) - directorSPHERE® Individual Assessment Exercise
    Individual exercise performed by Contributors which is based on an IDP current exercise. After an IDP current has been completed, Contributors select at least five directors from any board they are currently serving with or have served with previously, or even the senior management team to participate in a 360° feedback exercise.
  4. Enlightened Corporate Governance® (ECG) - Current
    Individual exercise for board Contributors. Contributors evaluate the entire board's performance in the current state. This exercise can be initiated from the Contributor homepage. Results are provided immediately.
  5. Enlightened Corporate Governance® (ECG) - Future
    Individual exercise for board Contributors. Contributors evaluate their current performance. This exercise can be initiated from the Contributor homepage. Results are provided immediately.
  6. Individual Director Risk® (IDR)
    Individual exercise for board Contributors. Contributors evaluate their individual risks as a director relative to 16 specific risk Indicators. This exercise can be initiated from the Contributor homepage. Results are provided immediately.

Collective Board Exercises: initiated by pre-determined administrators

  1. Enlightened Corporate Governance® (ECG) Board - Current
    Collective exercise performed by Contributors selected by the ECG Board administrator. This exercise may include every board member and can be used to evaluate the board's current performance. Results are sent to the ECG Board results recipient, Contributors will not be sent the results of an ECG Board exercise directly.
  2. Enlightened Corporate Governance® (ECG) Board - Future
    Collective exercise performed by Contributors selected by the ECG Board administrator. This exercise may include every board member and can be used to establish the boards' desired future performance. Results are sent to the ECG Board results recipient, Contributors will not be sent the results of an ECG Board exercise directly.
  3. Individual Director Profile® (IDP) - Peer-to-Peer
    Collective exercise performed by those Contributors selected by the IDP Peer-to-Peer administrator. This exercise may include every board member and can only be done in the present state. Results are sent to the IDP Peer-to-Peer results recipient. Contributors will not be sent directly the results of an IDP Peer-to-Peer initiated on their behalf. The board general administrator should suggest how to share the results with each Contributor.
  4. Committee Evaluations
    Evaluations for each committee the board has can be initiated by the Chair of that committee. These evaluations can be shared and reviewed by the members of the committee when provided to them by the committee Chair.
  5. Board CEO – Operating Performance Evaluation® (OPE)
    The board can collectively evaluate the CEO’s operating performance. Initiated by a designated administrator, the results provide feedback for the CEO on his or her performance. The administrator is responsible for sharing these results to the CEO and/or to the board.
  6. Risk Oversight Evaluation® (ROE)
    Collective exercise performed by all members of the board and managed by an administrator. Contributors will evaluate their board's performance of the oversight of the company's risks and risk process relative to 12 Disciplines needed for an effective oversight process. Results are sent to the administrator for presentation to the board.

CEO Evaluations: initiated by the CEO

  1. CEO – Operating Performance Evaluation® (OPE)
    Individual evaluation for the CEO to assess his or her operating performance. These questions may be compared to a Board OPE if the board has initiated that evaluation. This is a personal evaluation that is launched by, and results only seen by, the CEO.
  2. CEO – Leadership Performance Evaluation® (LPE)
    Individual evaluation for the CEO to assess his or her leadership performance. This is a personal evaluation that is launched by, and results only seen by, the CEO. After a CEO LPE evaluation has been completed, Contributors may select participants they deem appropriate to participate in a CEO LPE 360° feedback exercise.
  3. CEO – LPE directorSPHERE 360°
    After the CEO has launched and completed a CEO LPE evaluation he or she may select participants they deem appropriate to participate in a CEO LPE 360° feedback exercise. Results of this directorSPHERE 360° evaluation can then be compared to his or her personal CEO LPE evaluation.
