Standard Consulting and Product Support Services Agreement
XCEO will develop and implement a comprehensive leadership effectiveness program for the board. Our standard consulting services begin with an information gathering session with the board designated General Administrator. This will likely be the Chair of the Governance and [or] Nominating Committee, Chair of the Board or Lead/Presiding Director. In some situations, the board may designate the Board Secretary or General Counsel to serve in this capacity.

This option provides our clients with a total control offering. It is an ideal solution for those boards which prefer to manage, with XCEO's full support, all aspects of the enlightened governance evaluation process. In addition to making all of the decisions regarding which exercises will be deployed, which directors will participate, and when the evaluations will be initiated, the board is responsible for coordinating all other aspects of the process, including the final reports to the entire board of directors. XCEO will provide all necessary product support and a specific level of consulting service according to the particular product selected by the client.

Advanced Consulting and Product Support Services Agreement
XCEO will develop and implement a customized leadership effectiveness program for the board. Our advanced consulting services begin with an information gathering session with a board designated representative. This will likely be the Chair of the Board, Lead (Presiding) Director or Chair of the Governance and (or) Nominating Committee. In some situations, the board may designate the Board Secretary or General Counsel to serve in this capacity. Regardless, in this option, an XCEO Program Director will function as the General Administrator for the board.

This XCEO option provides our clients with a complete turn-key solution. We partner with the board to develop an integrated board leadership development plan which encompasses the whole term of the agreement. On behalf of the board, XCEO manages the complete process, including, providing personal support for each Director, offering constructive feedback, and presenting best-practice suggestions, as appropriate, to the board. The board provides the minimal confidential information required for XCEO to launch the process. It is an ideal solution for those boards which prefer to outsource all aspects of the enlightened corporate governance evaluation process. However, unlike the standard option, in this environment, decisions regarding which exercises will be deployed, which directors will participate, and when the evaluations will be initiated, are recommended by XCEO and subsequently approved by the board designee. Further, XCEO is responsible for coordinating all other aspects of the process, including the final reports to each director, as appropriate, and the entire board. XCEO will provide all necessary product support and consulting service necessary to initiate, coordinate and successfully complete all aspects of the XCEO enlightened corporate governance evaluation process.

Board Risk Oversight Consulting
Companies and their boards are required by regulators and shareholders to institute effective risk oversight procedures as a regular component of enterprise risk management.
